Terms of Service

Welcome to Qravit! These Terms and Conditions (“Terms”) govern your use of our platform. By accessing Qravit, you agree to comply with these Terms. If you do not agree, please do not use our services. These Terms apply to all users, including restaurants and customers.

Definitions

In these Terms, the following definitions apply:

  • “Company” - Qravit Technologies Limited.
  • “User” - Any individual or entity using Qravit.
  • “Restaurant Partner” - Businesses offering menus via Qravit.
  • “Services” - Digital menus, QR codes, restaurant management tools.
  • “Subscription” - Paid access to premium features.
  • “Third-Party Services” - External services (e.g., payment gateways).
  • “Confidential Information” - Non-public business or user data.

Partnership Agreement

1. Partnership Agreement

By using Qravit, restaurant partners agree to:

  • Provide accurate menu details (pricing, availability, ingredients).
  • Comply with food safety and business regulations in their region.
  • Resolve customer complaints professionally.

2. Revenue Sharing

  • Qravit may charge a commission on orders placed through the platform. The commission rate will be communicated to restaurant partners before they start using the service.
  • Restaurant partners will receive payments for orders placed through Qravit, minus the agreed commission.
  • Restaurant partners are responsible for any taxes or fees associated with their earnings from Qravit.

3. Termination of Partnership

Qravit may suspend or terminate the partnership if:

  • The restaurant engages in fraudulent activities.
  • Multiple customer complaints arise due to false advertising or misconduct.
  • Fees or commissions remain unpaid for more than 30 days.

Payment & Refund Policy

  • Payments are final, except in cases where a refund is applicable (see below).
  • Users must cancel subscriptions before the renewal date to avoid auto-billing.

Refund Conditions

Refunds are only provided in the following cases:

  • Service Downtime Compensation
    • If Qravit experiences prolonged downtime (48+ hours), users may receive:
      • A service credit (default option).
      • A partial refund if downtime exceeds 72+ hours.
  • Annual Subscription Refunds
    • If canceled within 30 days of purchase, a pro-rated refund is provided (minus processing fees).

Intellectual Property Rights

  • Qravit’s trademarks, logos, and software belong to Qravit Technologies Limited.
  • Users retain ownership of their content but grant Qravit a license to display, distribute, and promote it.
  • Unauthorized copying, resale, or distribution of Qravit’s technology is prohibited.

Privacy & Data Protection

  • Qravit does not sell personal data.
  • Users can request data deletion by emailing support@qravit.com.
  • Payment information is secured via third-party providers.

Service Availability & Force Majeure

1. No Guarantee of 100% Uptime

  • Qravit may experience temporary downtime due to maintenance or technical issues.
  • We strive to restore services quickly but cannot guarantee uninterrupted access.

2. Force Majeure

Qravit is not liable for service failures due to:

  • Natural disasters (earthquakes, floods, fires).
  • Government actions (bans, legal restrictions).
  • Cyberattacks or internet disruptions.

If a force majeure event lasts more than 30 days, either party may terminate the agreement without penalties.

Liability Waivers & Disclaimers

1. Limitation of Liability

  • Qravit is provided “as is” without warranties.
  • We are not liable for:
    • Losses due to incorrect menu listings or pricing errors.
    • Financial damages from service downtime beyond our control.
    • User-generated content that may be misleading or offensive.
  • Maximum Liability:
    • If Qravit is found liable, out total liability will not exceed the total amount you paid in the last 3 months.

2. Indemnification

Users agree to indemnify and hold Qravit harmless from any claims, damages, or legal fees arising from:

  • Misuse of the platform.
  • Breach of these Terms.
  • Violations of laws or third-party rights.

Dispute Resolution

1. Governing Law

These Terms are governed by the laws of Nigeria. Any disputes will be resolved in the courts of Nigeria.

2. Mediation & Arbitration

  • Users must first attempt mediation before filing legal claims.
  • If unresolved, disputes will be settled through arbitration, not court litigation.

3. Class Action Waiver

  • Users cannot bring lawsuits as a class action.
  • Disputes must be resolved individually.

Termination & Account Suspension

1. Grounds for Termination

Qravit may suspend or terminate accounts that:

  • Violate these Terms.
  • Engage in fraudulent, illegal, or deceptive practices.
  • Cause reputational harm to Qravit.

2. User-Initiated Termination

Users may terminate their accounts by:

  • Contacting customer support at support@qravit.com.
  • Settling outstanding payments before closure.

Third-Party Services & Integrations

  • Qravit integrates with external payment gateways and analytics tools.
  • We are not responsible for service failures caused by third-party providers.

Example: If a payment gateway fails to process transactions, users must contact the payment provider directly.

Modifications to Terms

Qravit may update these Terms periodically.

  • Users will be notified of significant changes.
  • Continued use of the platform implies acceptance of the updated terms.
